This Terms & Conditions agreement (“Terms”, "Terms & Conditions") outlines the rules for accessing and using our website www.RanBiderman.com provided by RB International (“Company,”, "Ran Biderman", “we,” “us,” or “our”). These Terms apply to you as a user of any of the services we offer, including those browsing the Website (“User”).

We may periodically update these Terms & Conditions. When we do, we will update the "Effective Date" listed at the beginning hereof. We will use reasonable efforts to provide you with notice of any such amendment or change by electronic communication. Your continued use of our offerings, services and website will be subject to the Terms & Conditions of the current Terms & Conditions.

Please make a note and be aware that these Terms & Conditions contain an arbitration provision with a class action waiver that is enforceable against you (please refer to section 20 of this agreement for further details).

Please read these Terms & Conditions carefully before using our services and resources.

By accessing the services and resources, registering an account, making a purchase, downloading materials, or clicking “I Agree,” you agree to be bound by these Terms & Conditions. If you do not wish to agree to these Terms & Conditions, you must not use the services and resources. Additional terms may apply to specific features of the services and resources and become a part of these Terms & Conditions. RB International may add, change, or remove features from the website at any time and without notice. The Terms & Conditions will govern the use of any new features that improve the current services and resources, including new resources and related websites or apps, unless stated otherwise.

The services and resources are only available for users who are 18 years or older. If you are under 18, you may not use the services and resources.

The content on our offerings, including text, graphics, logos, icons, images, audio and video clips, digital downloads, data compilations, and software, is our property or that of our licensors or licensees. Our marks, including trademarks, service marks, graphics, logos, page headers, icons, scripts, and trade names, are proprietary to us or our licensors or licensees. These marks may not be used in connection with any product or service that is not ours, in a manner that could cause confusion among users or damage our reputation. Marks not owned by us are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.

This agreement grants you a personal, non-transferable license to use the offerings or information provided for your personal or existing business purposes that are not related to training or coaching. Any other duplication, dissemination, use, or resale of these products or information is prohibited. All Users must use the services and resources solely for lawful purposes and in compliance with these Terms of Use.

By using this website, our services and resources and offerings you pledge not to upload, post, or transmit any content that:

• Violates any laws or is harmful, threatening, harassing, defamatory, disparaging, obscene, vulgar, invasive of privacy, hateful, or otherwise objectionable.

• Infringes upon others' rights, including the transmission of material you do not have the right to transmit under law or contract.

• Attempts to manipulate identifiers or disguise the origin of content transmitted through the site.

• Contains viruses, computer codes, files, or programs designed to damage software.

• Includes unauthorized advertising, promotional materials, spam, chain letters, pyramid schemes, or any other forms of solicitation.

• Fails to disclose any ownership or financial interests in a business listed in the Business Directory.

• Uses abusive, offensive language or imagery, obscenity, or pornography that could result in civil or criminal liability or is otherwise objectionable.

• Attempts to access unauthorized data or accounts.

5. Acceptance of the Terms & Conditions

By accepting these Terms & Conditions or accessing the services and resources, you acknowledge and agree to the following:

• You are 18 years old or older.

• You have read and understood these Terms & Conditions.

• You agree to be legally bound by these Terms & Conditions and any other agreements or policies incorporated into them.

• You have the authority to accept these Terms & Conditions on behalf of yourself or your company, brokerage, or other business entity that you represent.

• Your use of the services and resources does not violate any laws, rules, regulations, Terms & Conditions, or other legally or contractually binding requirements you are subject to.

 

These Terms & Conditions set forth the legally binding Terms & Conditions that govern your use of the services and resources. By accessing or using the services and resources, you accept these Terms & Conditions on behalf of yourself or the entity you represent, and represent and warrant that you have the right, authority, and capacity to enter into these Terms & Conditions on behalf of yourself or the entity you represent. If you do not agree to these Terms or lack the right, authority, or capacity to enter into them on behalf of yourself or the entity you represent, you are prohibited from accessing or using the services and resources. You further represent and warrant that you are legally permitted to use the services and resources in your jurisdiction and that RB International is not liable for your compliance with applicable laws.

6 Changes to Terms & Conditions

As mentioned above, we reserve the right to revise and update these Terms & Conditions at any time and in our sole discretion. All changes take effect immediately upon posting. If changes to the Terms & Conditions are significant, we will take reasonable measures to notify you and, if necessary, obtain your consent. Please check this page frequently to stay informed of any changes, as they are binding on you.

7. Access to Our Services and Resources

We reserve the right to modify or discontinue access to all or any part of our services and resources. RB International will not be held responsible or liable for any temporary or permanent unavailability of any services and resources or any part thereof. From time to time, we may restrict user access to some or all of the services and resources offered. Responsibilities of the user also include ensuring proper arrangements are made to access our services and resources and making sure that all individuals accessing the services and resources through your internet connection comply with and are aware of these Terms & Conditions.

8. All Electronic Communications

When you utilize our services and resources or send messages through electronic means such as email, text, or other means from your computer or mobile device, it constitutes electronic communication with us. If you register for our services and resources, we may communicate with you electronically through email, text, or mobile notifications, and you grant your consent to receive such communications. You acknowledge that all agreements, notifications, disclosures, and other communications provided to you electronically satisfy the legal requirement for written communication.

9. Requirements for All Registered Users

The registered account user is solely responsible for all activity conducted through the account. Registered Users must adhere to the following requirements at all times:

- Registration and Account Information: During registration, you may be required to provide certain information. It is a condition of using our services and resources that this information is accurate, up-to-date, and complete. You must update your information if it changes. Providing false or inaccurate information, or failing to keep your information up-to-date, may result in RB International blocking, freezing, or terminating your access to our services and resources, and you may not be able to use them in the future. Your information is subject to our Privacy Policy.

- Limited Access: The registered account is limited to use by you only. You cannot sell, lease, rent, or grant access to your registered account.

- No Website Scraping: Registered Users cannot collect, extract, or scrape data from our services and resources using automated means or otherwise unless expressly authorized by RB International for specific purposes identified in your agreement with us.

- Registered Users are given a username and password, which must be kept confidential. Sharing this information with others is not allowed. In the event of unauthorized access to your username or password, or any other security breach, you must notify us immediately.

- No Illegal Use! Registered Users may not use their account for illegal, unethical, or illicit activities, such as fraud or hacking.

10. Termination of Access

We reserve the right to end, discontinue, halt or limit your access to the services and resources, or any part of it, at any time, for any or no reason, with or without prior notice, along with any other remedies available to us.

In the event of termination or discontinuation of your account, we reserve the right to reassign your username to another user.

11. Payment Terms 

All offerings, additional services, and participation fees, which may include taxes and shipping fees, will be charged to the credit card you provide. You authorize RB International to debit this card for all amounts owed by you, and you must keep the card in good standing with available credit to cover these charges. If your credit card becomes cancelled, invalid, insufficient, or unavailable for any reason, you must immediately provide us with a new card and related information, and all authorizations for this agreement will apply to the new card. Payment may also be made through Electronic Fund Transfer. All past-due fees will incur a late payment fee of 1.5% per month or the maximum rate allowed by law, whichever is lower. No refunds, exchanges, or credits will be given after thirty (30) days from the date of purchase.

12. Your Privacy

We value the privacy of your personal information and take it seriously. Our Privacy Policy (find copy here https://www.ranbiderman.com/privacy-policy) outlines the usage and sharing of the information we gather. Along with these Terms & Conditions, you acknowledge and consent to the collection, usage, and disclosure of your personal information as described in our Privacy Policy, which is included in these Terms & Conditions as a reference.

13. Text Message Option

The services and resources may offer the option for users to receive text message alerts for calendar appointments or other updates, or to input events tracked by the service. Users understand that their telephone service provider may impose charges for receiving these text messages.

14. Rights of Intellectual Property

Trademarks:

The name "Ran Biderman", "Coach Ran Biderman" and "RB International", its logo, and all related names, logos, product names, service names, designs, and slogans are trademarked by RB International or its affiliates or licensees. You must obtain prior written permission from RB International before using any of these marks. All other names, logos, product names, service names, designs, and slogans appearing on the services and resources are trademarks of their respective owners.

Ownership of all content:

All users acknowledge and understand that the services and resources, including all its elements such as but not limited to information, technology, software, text, displays, images, video, and audio, and their design, selection, and arrangement (collectively referred to as "Content"), are owned by RB International, its licensors, or other material providers, and are protected by United States and international intellectual property laws, including copyrights, trademarks, patents, trade secrets, and others. The User is only authorized to use the Content in accordance with RB International's express authorization.

The Terms & Conditions do not transfer any ownership or interest in the Website contents, or any content provided to the User by RB International, except as explicitly stated in these Terms & Conditions. The User must not duplicate, distribute, modify, make derivative works, display publicly, perform publicly, republish, download, store, or transmit the Content. The User agrees to keep confidential and not share with others any information marked as proprietary or confidential by RB International. Any unauthorized use of the Content on the services and resources may infringe on copyright, trademark, and other relevant laws and regulations.

Without prior written permission from RB International, No part of the information or services and resources offered by RB International or Coach Ran Biderman can be reproduced in any form or by any means. Modifying, distributing, publishing, transmitting or creating derivative works of anything on our website and platforms content we provide is prohibited. 

Limited License for Tools and Resources on the Website and all services and resources offered by RB International:

These Terms & Conditions provide the User with a limited, non-exclusive and non-transferable license to use the Tools available for download on our Website.

In accordance with the restrictions stated herein, the User may download and print the tools and resources solely for personal use, as long as the copyright and other intellectual property notices are not removed. The User may not display, perform, or make derivative works based on these tools and resources, nor may they use the tools and resources in any way that competes with RB International.

The User acknowledges and agrees that RB International does not transfer any ownership, intellectual property interest, or title in and to the services and resources, Agent Tools, or any other resources made available under this limited license, to the User or any third party. The terms & Conditions of this limited license shall remain in effect even after the expiration or termination of these Terms & Conditions.

RB International may, at its discretion, extend this limited license to other resources available through our services and resources.

15. Reliance on Information

The information available on our website and affiliated sites is for general informational purposes only and may contain inaccuracies, typos, or omissions. RB International reserves the right to correct any errors or update information at any time without prior notice. We do not guarantee the accuracy or completeness of the information on the website, and you use this information at your own risk. RB International disclaims all responsibility and liability arising from any reliance placed on the information by you or any other user of this Website.

Our services and resources may feature links to third-party content or services. These external sites are not owned or controlled by RB International and we do not endorse or sponsor them. RB International, its affiliates, licensors, service providers, employees, agents, officers, and directors will not be held liable or responsible for any damages, under any legal theory, arising from your use or inability to use the services and resources, linked websites, content on the website, or related items obtained through this website. This includes any direct, indirect, incidental, consequential or punitive damages, such as personal injury, emotional distress, loss of revenue, profits, business or savings, loss of use, loss of time, goodwill, or data, and whether caused by negligence, contract breach or otherwise, even if foreseeable. In addition, this limitation does not impact any liability that cannot be excluded or limited by applicable law.

RB International and its associates do not provide any warranties for the completeness, security, reliability, quality, accuracy, or availability of the services and resources. RB International does not guarantee that the services and resources will be accurate, reliable, error-free, uninterrupted, or free from harmful viruses. All warranties, including but not limited to merchantability, non-infringement, and fitness for a particular purpose, are hereby disclaimed by RB International. This disclaimer does not change any warranties that cannot be excluded or limited by law.

19. Indemnification 

You agree to indemnify RB International as well as its directors, officers, agents, employees, and independent contractors and hold them harmless from and against any and all claims and expenses, including attorneys’ fees arising from your use of RB International services and resources or from your breach of this Agreement.

20. Disputes Resolutions

If you have a dispute with RB International or Coach Ran Biderman, you must first contact us at admin@ranbiderman.com and try to resolve it together with us informally. If the dispute cannot be resolved informally, both parties agree to resolve any claims, disputes, or controversies (excluding claims for injunctive relief or other equitable relief) related to these Terms & Conditions through binding arbitration by the American Arbitration Association (AAA) under the Commercial Arbitration Rules and the Supplementary Procedures for Consumer-Related Disputes then in effect for the AAA. For information about AAA please visit https://www.adr.org. All claims must be made in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims unless agreed otherwise by both parties. By entering into these Terms & Conditions, you and the Company each waive the right to a trial by jury and to participate in a class action.

The arbitration will be conducted in Providence County Rhode Island unless both parties agree otherwise. Each party will be responsible for paying their own AAA filing, administrative, and arbitrator fees according to the AAA rules. The arbitrator's award shall include arbitration costs, reasonable attorney's fees, and reasonable costs for expert and other witnesses. The award can be enforced in any court of competent jurisdiction. This section does not prevent either party from seeking injunctive or other equitable relief from the courts for issues related to data security, intellectual property, or unauthorized access to the services and resources.

21. Legal Jurisdiction and Applicable Law

All matters related to the services and resources and these Terms & Conditions of Use, including any disputes or claims arising from or relating to them (whether contractual or non-contractual), shall be governed by and interpreted according to the internal laws of the state of Rhode Island, disregarding any conflicting law provisions or rules from Rhode Island or any other jurisdiction.

Should the dispute resolution provisions in Section 14 not apply, any legal action or proceeding related to these Terms & Conditions of Use or the services and resources must be brought exclusively in the federal courts of the United States or the courts of the state of Rhode Island, located in Providence County. However, the Company retains the right to initiate any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any objections to the jurisdiction of these courts and the location of these courts.

22. Severability 

Failure by RB International to enforce any provision of these Terms & Conditions does not imply it will not do so in the future. If a court determines that any part of this Agreement is illegal, invalid, or unenforceable, the rest of the Agreement will still be in effect. The Agreement will be modified to preserve the removed provision as much as possible.

23. The Entire Agreement 

These Terms & Conditions herein as well as our Privacy Policy, subject to any amendments, modifications, or additional agreements you enter into with RB International, shall constitute the entire agreement between you and RB international with respect to the services and resources and any use of the services and resources.
